Terms & Conditions

Welcome to Digitience Cloud ("Company", "we", "us", or "our"). These Terms & Conditions govern your use of our software development, web development, and application deployment services. By entering into a business agreement with us or purchasing any of our plans, you accept and agree to be bound by these terms in full.
Article 1 — Definitions & Scope of Service
- Client: Any natural or legal person (company, clinic, enterprise) contracting Digitience Cloud for digital development services.
- Services: Includes the design, development, and maintenance of Landing Pages, Basic Corporate Websites, Full-scale Enterprise Platforms, E-commerce systems, Mobile Apps, and Desktop Applications.
Article 2 — Milestone & Payment Structure
Both parties agree to a strict milestone-based delivery and payment framework based on the selected package:
- Landing Page Plan: The page is fully built and deployed on our temporary development environment (Subdomain) for preview. Upon the client's visual and functional approval, the full package price must be settled. The website is then migrated live to the client's official custom domain.
- Advanced Web & App Plans — Phase 1 (Front-end UI): Custom user interface development uploaded to our test environment. The 1st payment is due immediately upon UI approval.
- Advanced Web & App Plans — Phase 2 (Backend & Dashboard): Integration of admin panel functionality. The 2nd payment is due immediately upon functionality approval.
- Advanced Web & App Plans — Phase 3 (Testing & Launch): Comprehensive system testing and third-party API integration. The final payment is due upon final sign-off, followed by code delivery or live server deployment.
Article 3 — Revisions & Scope Changes
- The client is provided review and testing windows at the end of each milestone. Written confirmation (via Email, WhatsApp, or communication platforms) constitutes a final sign-off on that respective phase.
- Any major revisions or structural changes requested after a milestone has been signed off will be treated as an out-of-scope change request, subject to additional developmental fees and an extended timeline via a separate addendum.
Article 4 — Intellectual Property (IP) Rights
- Complete ownership of the custom source code, database structures, graphics, and proprietary architectures is transferred exclusively to the client only after the final payment milestone is fully cleared and verified.
- The client has no legal right to use, copy, host, or display any developmental code or designs prior to clearing the corresponding financial obligations.
- Digitience Cloud retains the right to display a small, non-obtrusive attribution link in the website footer ("Developed by Digitience Cloud") unless explicitly opted out via a written agreement.
Article 5 — Project Delays & Delinquency
- If a client delays milestone feedback or payment for more than 7 business days, Digitience Cloud reserves the right to pause all development workflows immediately. We hold no liability for postponed final delivery dates caused by client delays.
- If delinquency or lack of communication exceeds 30 consecutive days, Digitience Cloud reserves the right to terminate the project. All historical milestone payments made prior to termination will be deemed non-refundable as compensation for allocated developer hours.
Article 6 — Annual Renewals & Third-Party Dependencies
- Domain names and Cloud VPS hostings bundled within packages require mandatory annual renewals.
- Renewal fees fluctuate based on international infrastructure pricing. Clients will be notified of renewal invoices 30 days prior to expiration. Digitience Cloud holds zero liability for data loss or domain dropping resulting from unpaid client invoices.
- We are not liable for external operating costs, merchant account fees, shipping integration premiums, SMS gateway pricing, or app store subscription fees (e.g., Apple Developer or Google Play Console accounts).
Article 7 — Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any unresolved disputes arising from these terms shall be settled exclusively before the competent judicial courts of Egypt.
